Acordo CASSIDIAN e SAAB sobre a Grintek Ewation

Em comunicados separados na data de hoje(14 Março) as empresa CASSIDIAN, Divisão de Defesa e Segurança da EADS e a SAAB AB acordaram em transferência acionária da empresa Sul-Africana Grintek Ewation.

Assim a CASSIDIAN passa a ser a acionista majoritária da Grintek Ewation.

Saab divests its shares in Grintek Ewation to Cassidian

Saab AB has today signed an agreement to divest its ownership share of 42.4 per cent in South African system engineering company Grintek Ewation to Cassidian, a division of EADS.

Saab and Cassidian have been partners in Grintek Ewation since December 2001 with the aim to jointly develop the company into a leader in communications electronic warfare systems. Cassidian is the largest owner in Grintek Ewation.

“Grintek Ewation is a successful company and has been a profitable investment for Saab. Going forward we believe that the continued growth of the company will benefit from having a more coherent ownership structure. Our business relationship with Grintek Ewation will continue”, says Riaz Saloojee, CEO Saab South Africa and member of the Board of Directors of Grintek Ewation.

South Africa is Saabs largest operations outside Sweden with more than 1,100 employees. South Africa is still a prioritized market for Saab.

The transaction is pending approval from among others the competition authorities of South Africa and is expected to be concluded in second quarter of 2011. The transaction will generate a capital gain before tax of approximately MSEK 120 and will be recorded in business area Electronic Defence Systems.

CASSIDIAN boosts global Security Electronics Business

Cassidian, the defence and security division of EADS enters into agreement to acquire the majority share in South African company Grintek Ewation

Cassidian and grintek Ewation are providing complementary skills in Communications Electronic Warfare, Governmental Intelligence and Electronic Protection

14 March 2011 – Cassidian, the defence and security division of EADS, boosts its global security electronics business by entering into an agreement to acquire the majority shareholding in South African Electronic Warfare specialist company, Grintek Ewation (GEW), Pretoria.

Cassidian will increase its 45 per cent share in GEW to 87,4 per cent by acquiring the 42,4 per cent share of SAAB South Africa. A 12.6 per cent share is held by Kunene Finance Company. The increase of local shareholding remains a priority to be addressed in the near future. The transaction which is valued at a two-digit million Euro sum is subject to formal approval from South African competition authorities.

"Grintek Ewation capitalizes on outstanding competencies in the fields of Communications Electronic Warfare", explained Bernd Wenzler, CEO of Cassidian Electronics. "These are complementary to our existing skills in governmental intelligence and electronic protection, and therefore give us an excellent basis to grow this business vigorously."

“This new shareholding structure takes the long standing relationship with EADS to a new level” said Carel van der Merwe, CEO of Grintek Ewation. “The advantage of this closer relationship provides the opportunity for future growth and competitiveness on a global scale”.
